Articles of Association
Article I: Name
The name of this organization shall be the Mississippi Association of County Democratic Chairpersons
Article II: Purpose
The purpose of this organization shall be to give the officers and members of the County Democratic Executive Committees opportunities to work cooperatively; to be a clearinghouse for ideas, progress and projects; to serve as a conduit of communications and coordination between grassroots partisans and party leaders; to provide a forum for intraparty dialogue, assistance and sharing of knowledge and information; to advocate and promote laws and policies to strengthen the role of county Democratic Executive Committees, and to assist in the election of Democratic nominees to every elected office.
Article III: Membership
The chairperson of each County Democratic Executive Committee shall be entitled to voting membership in this organization. In the absence of the county chairperson, the vice-chairperson of that county Democratic Executive Committee shall be allowed to vote. In the absence of both the county chairperson and vice-chairperson, a member of that County Democratic Executive Committee may vote upon presentation of a signed proxy from the county chairperson. Counties with co-chairpersons shall be allowed to divide equally one vote in the event that both co-chairpersons attend an association meeting. Each county shall be entitled to one vote.
Article IV: Officers
The officers shall be a chairperson, vice-chairperson, recording secretary, corresponding secretary, treasurer and assistant treasurer. Their authority and duties shall include those indicated by their respective titles and such as may be, from time to time, assigned to them by the membership.
The officers shall be elected by the membership by secret ballot. A majority vote of members present and voting shall be required for election.
The officers shall hold office for a term of two years, or until a successor is chosen, beginning in September 1996. In the event of the resignation or removal of any officer, the membership shall elect a new officer to serve the remainder of the term.
Only chairpersons of vice-chairpersons of County Democratic Executive Committees shall be entitled to serve as officers of this organization.
Article V: Management Committee
The officers of his organization may meet as a Management Committee and as such are empowered to act on behalf of the membership, subject to their subsequent approval.
Article VI: Meetings
Meetings shall be held at least quarterly, at the call of the chairperson, the management committee, or the call of twenty-one County Democratic Executive Committee chairpersons. The presence of ten voting members representing ten counties shall constitute a quorum. Two weeks’ notice shall be required for meetings to be mailed in writing. Notice may be waived in emergency.
Article VII: Parliamentary Authority
The latest edition of Roberts Rules of Order shall be the parliamentary authority for this organization.
Article VIII: Finances
Each county shall be assessed a voluntary contribution of twenty dollars to defray the administrative costs of the organization, to be paid annually.
Article IX: Bylaws
This organization may adopt bylaws not in conflict with this document by two-thirds vote of the membership present and voting at a regularly scheduled meeting.
Article X: Amendment
This document may be amended by three-fourths vote of the membership present and voting at a regularly scheduled meeting, provided that thirty days’ written notice of amendment is mailed to each County Democratic Executive Committee chairperson.
